Board Secretary

 

 

General Description of Role & Responsibilities

 

The Board Secretary is responsible for managing and maintaining the legal documentation and formal processes for the organization, including organizing and maintaining records of meetings of the Board. 

 

Requirements

 

This position requires an individual with strong organizational  and information management skills and a basic understanding of corporate formalities.  Attendance at all monthly board meetings and twice yearly retreats is expected.  Technical skills required for working with the BAodn website or electronic archives are desirable but not necessary (will be taught as needed for position).  Some duties may be delegated to another volunteer or HSMC such as arranging meeting logistics or keeping minutes in which case the Secretary will need to manage such activities.

 

Secretary Activities

 

Specific tasks and projects which will be performed by the Board  Secretary include the following:

 

  • Solicit and prioritize agenda items, draft agenda for board meetings and distribute agenda to board members
  • Manage calendar for Board meetings and other board events
  • Manage archive of organization documents
  • Document policies
  • Review Bylaws and confirm compliance by Board with the Bylaws
